Terms of Service

1. Acceptance of terms
By creating an account or using Approve Suite ("the Service"), a product of Catalyst Collective, LLC, a Delaware limited liability company doing business as Approve Suite ("we," "us," "our"), you agree to these Terms of Service. If you do not agree, do not use the Service. If you use the Service on behalf of a company, you confirm you are authorized to accept these Terms for that company.
2. Description of the service
Approve Suite is a regulatory monitoring tool operated by Catalyst Collective, LLC. It collects documents and records that government agencies and registries publish (for example recalls, Federal Register documents, Code of Federal Regulations amendments and clinical trial registry changes), uses software and AI to label and summarize them, and delivers the items that match the watchlist you configure by dashboard, email digest and email alert. Free and Pro plans are described on the pricing page.
3. Not regulatory, legal, or medical advice; AI limitations
Everything the Service shows you, including summaries, severity labels, "why it matters" notes, and mappings from CFR parts to GxP areas or guidance documents, is for informational purposes only. It is not regulatory, legal, quality, medical, or investment advice, and it does not replace your own regulatory intelligence process, your quality system, or qualified professionals. All compliance, filing, quality, and business decisions are your own responsibility.
Approve Suite uses AI models (including third-party models from Anthropic) to classify and summarize public records. AI output is not perfect: items may be mislabeled, a severity may be wrong, a company may be matched incorrectly, and a relevant item may be missed or delayed. Source agencies also change, correct, delay, or withdraw what they publish. The Service is not a complete or real-time record of agency activity, and you must not rely on it as your only means of learning about a regulatory obligation. Always verify against the linked primary source. We make no representations or warranties regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of any item, summary, or alert.
The Service is not affiliated with, endorsed by, or operated on behalf of the U.S. Food and Drug Administration or any other agency.
4. Accounts
You must provide accurate information when creating your account. One account is for one person. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, scrape, or bulk-extract the Service's data pipelines, classifications, summaries, or AI prompts
- Resell, republish, or redistribute digests, alerts, or our summaries outside your own organization without written permission (forwarding an individual item to a colleague is fine)
- Share one account among several people, or otherwise circumvent plan limits, rate limits, or usage caps through account sharing, coordinated requests, IP rotation, or any other technical means
- Add delivery addresses for people who have not agreed to receive the emails, or use the Service to send unsolicited messages in violation of anti-spam laws (including CAN-SPAM)
- Automate requests at a rate that exceeds normal human usage, except through an API we document for that purpose
- Interfere with the Service's infrastructure or security, or probe it for vulnerabilities without our written permission
6. Free plan
The free plan is described on the pricing page at the time of sign-up and is limited to one per person. We may modify or discontinue the free plan, or what it includes, at any time.
7. Plans, billing, and cancellation
Paid plans are billed in advance, monthly or annually, on a recurring basis. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. All payments are processed by Stripe. You may cancel at any time from your profile settings; cancellation takes effect at the end of the current billing period and you keep access through that date. We do not offer refunds for partial months or partial years.
We may change pricing with 30 days' notice by email or in-app notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
8. Plan limits and rate limiting
Each plan includes limits, such as how far back the archive goes and how many watchlists you can create. To protect the Service for all users, we apply automatic rate limiting. Requests that exceed these limits receive a 429 Too Many Requests response and may be retried after a short delay. We may throttle, restrict, or suspend accounts that abuse the Service or attempt to circumvent its limits.
9. Your content and confidentiality of your watchlist
You retain ownership of what you enter into the Service: your watchlists and rules, saved views, delivery settings, and feedback. You grant us a limited license to process it solely to provide the Service to you. We treat the contents of your watchlist as confidential, because it can reveal what your company is working on: we do not disclose it to other customers, do not sell it, and do not use it to train AI models. Useful/noise feedback on public items may be used, in aggregate, to improve labeling for everyone.
10. Intellectual property and source material
The underlying government records belong to the public domain or to their respective publishers, and we claim no ownership of them. The Service itself, including its design, code, taxonomy, classifications, summaries, mappings, and branding, is owned by Catalyst Collective, LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you a right to use our trademarks or proprietary technology.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, COMPLETE, TIMELY, OR UNINTERRUPTED, OR THAT ANY ALERT WILL BE DELIVERED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST COLLECTIVE, LLC (D/B/A APPROVE SUITE) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, INCLUDING ANY REGULATORY ACTION, MISSED DEADLINE, OR COMPLIANCE FAILURE, ARISING OUT OF YOUR USE OF THE SERVICE OR ANY ITEM IT DID OR DID NOT DELIVER. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Catalyst Collective, LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) any content you submit through the Service, including delivery addresses you add; or (d) your violation of any third-party right, including intellectual property or privacy rights.
14. Termination
We may suspend or terminate your account at our discretion if you violate these Terms, with or without prior notice. You may delete your account at any time from your profile settings. Upon termination, your watchlists and personal data will be deleted within 30 days. Sections 3, 9, 10, 11, 12, 13, 15, 16, 17, and 18 survive termination.
15. Force majeure
We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, government shutdowns or agency website and API outages, labor disputes, internet or infrastructure outages, or failures of third-party service providers.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Before initiating formal legal proceedings, you agree to contact us at info@approvesuite.com and give us 30 days to attempt to resolve the dispute informally. If the dispute is not resolved, it shall be submitted to the courts of Delaware, and you consent to personal jurisdiction there.
17. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
18. General
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Catalyst Collective, LLC regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
